Who Is Included
You may be eligible if you purchased or acquired Becton, Dickinson and Company stock (BDX) during the Relevant Period, are not an Excluded Party, and suffered a loss under the Plan. A timely, completed, signed claim with adequate transaction documentation is required.

How will my payment amount be calculated?
- Your payment is based on the Plan’s calculation of your Recognized Loss, not on a fixed amount per share.
- If the available net fund is enough to cover all Recognized Losses, an eligible claimant receives that loss amount plus any Reasonable Interest awarded. If it is not enough, eligible claimants share the available fund using a pro rata percentage.
- The result can also be reduced by an Offset for Prior Recovery. The notice does not provide the detailed Recognized Loss formula; it says that formula is in Exhibit A to the Plan of Distribution.
Is there a minimum payment amount?
- No payment will be made if an otherwise eligible claimant’s calculated Distribution Payment is less than $20.
- Amounts below $20 remain in the fund for distribution to eligible claimants whose payments are at least $20.
Who is excluded from the Fair Fund?
- The notice excludes BD; present or former officers and directors and specified related people or entities; certain former or current employees connected to the conduct; people facing related criminal charges as of the claim deadline; entities BD controlled; the Fund Administrator and people helping it; and people who bought another person’s recovery right for value.
- A person who obtained a recovery right by gift, inheritance, or devise is not excluded by the rule about purchased or assigned recovery rights.
What documentation do I need with my claim?
- You must provide adequate supporting documentation for every transaction listed in your claim.
- The notice does not list the specific records that will be accepted for an individual investor’s claim. It requires documentation but gives more detailed evidence requirements only for Third Party Filers.
What happens if my claim is incomplete or has a problem?
- The administrator may send a Claim Status Notice if your claim is missing required information, is deficient, or is ineligible.
- That notice may explain the problem and give you an opportunity to correct deficiencies.
What must a broker or other nominee do for beneficial owners?
- A broker or other nominee that bought BDX during the Relevant Period for a beneficial owner has 14 calendar days after receiving the Plan Notice to take one of two actions.
- It must either send a Claim Form to the beneficial owners or send the Fund Administrator the beneficial owners’ last known names and addresses so the administrator can contact them directly.
Are there special rules if someone else files my claim?
- A Third Party Filer must provide documentary evidence of purchases, sales or other dispositions, and holdings. For managed accounts, it must also submit proof that it has authority to file.
- Any distribution payment must be payable to the Payee, not the Third Party Filer. The filer also cannot take its fee from the distribution payment.
