THIS NOTICE CONTAINS IMPORTANT INFORMATION REGARDING YOUR ABILITY TO SHARE IN THE FAIR FUND. Background The Cease-and-Desist Proceeding On December 16, 2024, the Commission issued the Order instituting and simultaneously settling cease-and-desist proceedings against Becton, Dickinson and Company (the “Respondent” or “BD”). In the Order, the Commission found that the Respondent made repeated misrepresentations to investors regarding the risks it was taking in selling its Alaris infusion pump from 2016 to early 2020. On February 6, 2020, BD conducted an earnings call informing investors that the company needed to revise its financial guidance for the full fiscal year and obtain new 510(k) clearance for the Alaris infusion pump. Additionally, BD informed investors that it would cease selling the device until the FDA granted that clearance. Shares of BD fell by about 12% that day, harming investors who bought BD shares at prices inflated by the company’s disclosure and accounting failures. Without admitting or denying the Commission’s findings, Respondent consented to the entry of the Commission Order which found that Respondent violated Sections 17(a)(2) and 17(a)(3) of the Securities Act of 1933 and the following provisions of the Securities Exchange Act of 1934: Sections 13(b)(2)(A) and 13(b)(2)(B); Section 13(a) and Rules 13a-1, 13a-11, 13a-13, and 13a-15 thereunder. The Commission ordered the Respondent to pay a $175,000,000.00 civil money penalty to the Commission. The Becton Fair Fund, the Tax Administrator, and the Fund Administrator The Commission established the Fair Fund, pursuant to Section 308(a) of the Sarbanes-Oxley Act of 2002, so the penalty collected can be distributed to harmed investors. The Fair Fund consists of the $175,000,000.00 paid by the Respondent and deposited in a Commission-designated account with the United States Department of Treasury where the funds are invested in an interest-bearing securities account. Accrued interest and any additional funds received pursuant to the Order will be added to the Fund. By Order, issued on September 23, 2025, the Commission appointed Miller Kaplan Arase LLP as the tax administrator (the “Tax Administrator”) for the Fair Fund to handle the tax obligations of the Fair Fund. By Order, issued on February 17, 2026, the Commission appointed JND Legal Administration, as the fund administrator for the Fair Fund (the “Fund Administrator”), which will be responsible for administering the Fair Fund in accordance with the Plan. The Plan This Plan of Distribution (the “Plan”) was developed jointly by the Fund Administrator and the SEC staff in accordance with practices and procedures customary in Fair Fund administrations. The Plan governs the administration and distribution of the Fair Fund and sets forth the method and procedures for distributing the assets of the Fair Fund to investors harmed by the conduct alleged in the Order. On July 16, 2026, the Commission approved the Plan. Who May Be Eligible for a Distribution? If you invested in the Security during the Relevant Period; are not an Excluded Party as defined in the Plan; and suffered a loss according to the Plan, you may be eligible for a distribution from the Becton Fair Fund. Allocation of the Becton Fair Fund A Plan of Allocation has been prepared that provides the formula by which Distribution Payments will be determined (See Exhibit A of the Plan). The Net Available Fair Fund will be distributed to Eligible Claimants in accordance with that Plan of Allocation. The Fair Fund, together with accumulated interest and earnings from investments thereon, less taxes and the fees and expenses of administering the Plan (the “Net Available Fair Fund”) will be distributed to investors (other than Excluded Parties) who purchased or acquired the Security during the Relevant Period, who submit a timely, valid Claim Form and suffered a Recognized Loss, as calculated in accordance with the Plan of Allocation (“Eligible Claimant”). The Plan of Allocation is attached as Exhibit A to the Plan, available on the Fair Fund website. If the Net Available Fair Fund is equal to or exceeds the sum of Recognized Losses of all Eligible Claimants, each Eligible Claimant’s distribution amount will equal his, her, or its Recognized Loss, plus any “Reasonable Interest” awarded. If the Net Available Fair Fund is less than the sum of the Recognized Losses of all Eligible Claimants, each Eligible Claimant’s distribution amount will equal his, her or its “Pro Rata Percentage” of the Net Available Fair Fund. In either case, the distribution amount will be subject to the “Offset for Prior Recovery” and the “Minimum Distribution Amount.” All Distribution Payments will be subject to a “Minimum Distribution Amount”. If an Eligible Claimant’s Distribution Payment is less than $20.00, that Eligible Claimant will not receive a Distribution Payment and the funds will be distributed to other Eligible Claimants whose Distribution Payments are equal to or greater than $20.00.
