TAL Education Group Securities Litigation Settlement

- You may be in the Settlement Class if you bought or otherwise acquired publicly traded TAL American Depositary Shares (ADSs) from January 14, 2022 through March 14, 2023, and still held them on at least March 14, 2023.
- The notice excludes TAL and its officers and directors, certain related people and controlled entities, specified judges and court staff and their family members, and people who properly ask to be excluded.
- The payment plan also says ADSs obtained through the exercise, conversion, or exchange of non-publicly traded securities are not eligible. Shares received in exchange for another company’s securities are not treated as a purchase or sale.

- Submit a completed Proof of Claim and Release Form with supporting documents.
- You can submit online by 11:59 p.m. Eastern Time on October 8, 2026, or mail it with a postmark no later than September 29, 2026.
- The form requires records for starting holdings as of January 13, 2022; every purchase or acquisition and sale through June 12, 2023; and ending holdings as of June 12, 2023. It also requests a Social Security number or taxpayer identification number.
- Broker confirmation slips, broker statements, or equivalent official documents are required to show the listed purchases and sales. A claim can be rejected without them.
How will my potential payment be calculated?
How is a payment amount calculated?
- The $14.1 million fund is not divided evenly. After approved fees, expenses, taxes, and administration costs, eligible claimants share the remaining Net Settlement Fund in proportion to their Recognized Loss.
- Recognized Loss depends on the dates, prices, and number of ADSs bought and sold. The plan uses trade dates and a first-in-first-out matching method.
- For Class Period ADS purchases, the recognized-loss calculation is generally capped at $0.82 per ADS and is subject to additional sale-date and 90-day lookback limits.
- No payment will be made when the calculated distribution would be less than $10. The notice’s estimates are not a promise of what any person will receive.

- The notice does not give a payment date.
- Payments can be distributed only after timely claims are processed and the Court has finally approved the settlement. Processing may take significant time because claims must be investigated and tabulated.
- If money remains after the first distribution, the administrator may make a second distribution to certain claimants who cashed their first checks, if it is economically feasible.

- Leaving the settlement is called requesting exclusion. If you properly exclude yourself, you will not receive a settlement payment, cannot object, and will not be bound by the judgment.
- For an email request, send it to [email protected] by 11:59 p.m. Eastern Time on October 15, 2026. A mailed request must be received by the Claims Administrator no later than October 8, 2026.
- The request must give your contact information, identify this case, list your Class Period TAL ADS transactions with dates and prices, include documents proving the transactions and beneficial ownership, and be signed by the beneficial owner under penalty of perjury.
How do I object if I remain in the settlement?

- You may object to the settlement, the proposed allocation plan, or requested attorneys’ fees and expenses only if you stay in the Settlement Class.
- Send or mail your written objection so that Lead Counsel and Defendant’s Counsel receive it by October 8, 2026. It must include your contact information, TAL ADS transactions during the Class Period, the reasons for the objection, and the other information listed in the notice.
- You do not have to attend the hearing for the Court to consider a timely written objection. If you want to speak at the hearing, say so in the objection or in a separate writing sent to the parties at least 10 calendar days before the hearing, and identify any planned witnesses or exhibits.
