Elanco Animal Health Fair Fund: What Investors Could Claim

The notice excludes several categories of people and entities, even if they traded ELAN during the Relevant Period. The full definition of an Excluded Party is in the Plan.

• Elanco Animal Health Inc.
• Its present or former officers and directors, along with specified related people and controlled entities.
• Employees or former employees of Elanco or its affiliates who were terminated for cause or resigned in connection with the conduct described in the SEC order.
• People facing criminal charges related to that conduct or a related SEC action as of the Claims Bar Date.
• Entities Elanco controlled or had controlled; the Fund Administrator, its employees, and people assisting it.
• People who bought or were assigned someone else's right to recover from the Fair Fund for value. The notice makes an exception for rights received by gift, inheritance, or devise.

You must use one of these submission methods. A late claim is treated as untimely and will prevent payment from this Fair Fund.

• Mail a Claim Form to: Elanco Animal Health Inc. Fair Fund, Fund Administrator, PO Box 2228, Portland, OR 97208-2228. A mailed form must be postmarked by September 14, 2026.
• Submit through the online claims portal by 11:59 p.m. Pacific Time on September 14, 2026.
• Email the form and supporting records to [email protected] by 11:59 p.m. Pacific Time on September 14, 2026.

The notice requires transaction support, but it does not identify the specific types of records in this notice. The Claim Form and Plan provide the applicable requirements.

• Include appropriate supporting documents for every transaction entered in Part III of the Claim Form.
• For an online or email claim, include all required supporting documentation with the submission.

The notice does not provide the calculation formula. It says that the Plan of Allocation, attached as Exhibit A to the Plan, contains the methodology used for eligibility and payment calculations.

• The payment is not a fixed amount for each investor.
• The Fund Administrator applies the Plan of Allocation to approved transactions to calculate a Recognized Loss.
• A payment is available only if the calculated Distribution Payment is at least $20.00.

These are claim-review and dispute timeframes. The notice does not give a date for distribution payments to be sent.

• If the Fund Administrator finds a deficiency, it says it will send a Claim Status Notice within 60 days after the Claims Bar Date. That notice will explain the problem and how to cure it, seek reconsideration, or dispute the determination.
• Within 150 days after the Claims Bar Date, the Fund Administrator says it will complete claim determinations and send a Determination Notice to everyone who submitted a timely Claim Form.
• If you disagree with the Recognized Loss calculation, you may submit a written dispute within 30 days of the Determination Notice. The Fund Administrator will respond in writing within 30 days after receiving it.

This instruction is for brokers and other nominee purchasers who held ELAN shares for beneficial owners during the Relevant Period.

• Within 14 days after receiving the notice, either mail the notice and Claim Form to each beneficial owner by First-Class Mail, or provide the Fund Administrator with the beneficial owners' names and addresses.

Receiving the notice is not a decision on your claim.

• A mailed notice and claim form do not establish that you are a Preliminary Claimant or that you qualify for payment.
• Eligibility depends on the Plan requirements and the Fund Administrator's review of the claim.
