What do I need to do to seek a payment?

You must file a documented claim to be considered for money from this settlement. The notice does not list every document required; it says those requirements are set out in the Claim Form.

  • Include the supporting documents required by the Claim Form. Keep your original ownership and transaction records.
  • Submitting a claim is necessary to be considered for a payment, but it does not guarantee one.

Are all Rockley transactions eligible for a payment?

Being in the class does not by itself mean a payment will result. The proposed allocation plan is aimed at investors who bought or acquired Rockley Common Stock during the class period, held it through at least one corrective disclosure, and have a recognized loss. The Court may modify the plan.

  • Shares sold before May 12, 2022 have a recognized loss amount of $0 under the allocation formula.
  • The plan uses transaction dates and prices, whether and when shares were sold, the decline in alleged inflation, and special limits for shares sold or held after January 23, 2023.
  • For multiple transactions, the plan generally matches sales to the earliest purchases first, using the FIFO method.

Can profits or a small calculated payment affect what I receive?

The allocation plan has additional limits beyond the per-share formula. A recognized claim can be reduced to the claimant’s actual overall market loss.

  • The Claims Administrator will first subtract profits from all covered Rockley Common Stock transactions from losses.
  • You must have an overall net loss to receive a distribution.
  • Even an otherwise valid payment of less than $10.00 will not be distributed.

How will my payment amount be decided?

No individual payment amount can be determined now. Payments are pro rata, meaning the available net fund is divided among authorized claimants under the allocation formula.

  • The settlement fund is $10 million in cash, plus interest earned, but expenses and Court-approved awards are deducted before payments are calculated.
  • Each approved claimant’s share is based on the size of their recognized claim compared with all approved recognized claims.
  • The notice’s $0.11 figure is only an estimated average per damaged share before deductions; it is not a promised payment.

When would payments be sent?

The October 20, 2026 hearing is not a payment date. Payment timing depends on later claim processing, final approval, and any appeals.

  • Payments come only after claims are processed, the Court has finally approved the settlement, and any appeals are resolved.
  • If money remains after the first distribution, the administrator may make additional distributions if doing so is feasible and economical.
  • The notice does not provide a calendar date for payments.

What happens if I opt out?

Opting out means leaving the settlement class. It is different from filing a claim or objecting to the settlement.

  • Send a written exclusion request by first-class mail or equivalent delivery so it is postmarked by September 29, 2026, or received by then if it has no postmark.
  • The request must include your name, address, telephone number, a request to be excluded, your signature, and specified Rockley transaction details.
  • If you opt out, you cannot receive money from this settlement. Opting out is the only option that preserves the ability to take part in another lawsuit concerning the released claims.

How can I object to the settlement?

You may object to the settlement, the proposed allocation plan, attorneys’ fees and expenses, or the requested awards to the lead plaintiffs. You do not have to attend the hearing to object or participate.

  • You must be a class member who has not opted out.
  • File your written objection and supporting papers with the Court, and serve them on class counsel and defense counsel, so they are received by September 29, 2026.
  • The objection must include detailed transaction and holding information and documents showing class membership, such as brokerage confirmations, monthly statements, or an authorized broker statement.

What rights do I give up if I stay in the class?

Remaining in the class has legal consequences whether or not you submit a claim. The notice defines the released claims broadly, including claims that may be unknown when the settlement becomes effective.

  • Unless you validly opt out, you will release claims against the defendants and related released parties that arise from the allegations and from buying or acquiring Rockley Common Stock during the class period.
  • This release applies even if you do not file a Claim Form or receive a payment.
  • Claims to enforce the settlement itself are not released.
