dMY IV / Planet Labs Stockholder Settlement

Stockholders who held eligible, unredeemed dMY IV Class A shares immediately after the December 1, 2021 redemption deadline may qualify for a share of an $11 million settlement over the Planet Labs merger. A claim with brokerage records is required. Payments depend on calculated losses and available funds; distributions below $10 are not paid.

Claims open Deadline: January 9, 2027

Who qualifies for a payment?

Nonexcluded class members who held dMY IV Class A common shares immediately after 5 p.m. Eastern on December 1, 2021 and did not submit those shares for redemption before the Planet Labs merger. Defendants, their families, affiliates, controlled entities and related representatives are excluded. Redeemed shares, warrants and options do not qualify for payment.

How much could I receive?

A proportional share of the net $11 million settlement fund, based on the allocation plan’s calculated losses for your eligible shares. Fees and other costs reduce the fund. No fixed per-share payment is established, and a calculated distribution below $10 receives nothing.

Do I need supporting documents?

Yes. You must document eligible holdings and sales, for example with brokerage statements or confirmations. Only shares listed in the Proof of Claim and Release with adequate supporting records count toward the payment calculation.

Do I need a Claim ID or PIN?

The saved notice and article do not establish whether a notice ID or PIN is required for online or paper claims. You can ask the administrator at 1-844-924-0856 about the claim process.

What is the claim deadline?

January 9, 2027. Online claims are due by that date. The saved notice says mailed claims must be postmarked by January 9, but the saved article says they must be received by then. Confirm the mail rule with the administrator; mailing early enough to arrive by January 9 meets both stated deadlines.

How do I claim?

Complete the Proof of Claim and Release, list your eligible shares and sales, and include supporting brokerage records. Submit online or mail it to the administrator. If mailing, resolve the postmark-versus-receipt discrepancy or allow enough time for delivery by January 9, 2027.

Can I opt out, or be paid without a claim?

No. This is a non-opt-out class, so class members cannot exclude themselves. You must submit a valid, timely claim to receive a distribution; doing nothing still leaves you bound by the settlement and its release if approved and effective.

When would payments be sent?

No payment date is set. Distribution must wait for court approval of the settlement and allocation plan, completion of the appeal period, and claim processing. The settlement hearing is scheduled for December 10, 2026.

Who is covered, and who can seek a payment?

  • The settlement class includes record and beneficial holders of dMY IV Class A common stock who held shares at any point from 5:00 p.m. ET on December 1, 2021 through the December 7, 2021 merger closing. Certain successors who received shares by operation of law are included.
  • For payment, the rule is narrower: you must have held shares immediately after the December 1, 2021 redemption deadline, and those shares cannot have been submitted for redemption in the merger.
  • The notice excludes the defendants, certain family members and affiliated or controlled entities, and specified people or entities connected to them.

What must I do to request a payment, and do I need documents?

  • You must submit a valid Proof of Claim and Release. You may submit it online or mail it, but an online claim must be submitted, or a mailed claim postmarked, by January 9, 2027.
  • The notice says documentation must adequately support each eligible share listed in the claim. It does not spell out the full claim-submission procedure in this notice; the Proof of Claim and Release is attached to the notice.

How will payment amounts be calculated?

  • The proposed $11 million settlement is not divided equally. After deductions for taxes, administration, court-approved fees, and other approved costs, the remaining Net Settlement Fund is allocated based on each eligible claimant's share of all recognized Total Losses.
  • For an eligible share sold after December 1, 2021 and before August 19, 2024 for less than $10, the proposed loss is the difference between $10 and the sale price, plus $0.10. A share sold in that period for $10 or more receives only the $0.10 nominal amount.
  • For an eligible share still held at the close of trading on August 19, 2024, the proposed loss is $7.16 plus $0.10. These formulas only set the relative allocation; they do not predict the payment amount.

Are there situations where I will not receive a payment?

  • Shares redeemed in connection with the merger do not receive a Total Loss calculation under the proposed plan.
  • A claimant whose calculated distribution is under $10 will not receive a payment, but will still be bound by the settlement.
  • The plan also treats short sales as having zero Total Loss, and options themselves are not eligible securities for recovery.

Can I opt out or keep claims covered by the settlement?

  • No. This is a non-opt-out class, so class members cannot exclude themselves from the settlement.
  • If the settlement is approved, class members will release claims connected to the merger, the proxy and other merger disclosures, and alleged impairment of redemption rights, as described in the notice. The action will be dismissed with prejudice.

How can I object to the settlement or payment plan?

  • You may object in writing to the settlement, the proposed payment plan, or the request for attorneys' fees and expenses. Your objection must be filed with the Delaware Court of Chancery and served on the listed lawyers so that it is received by November 17, 2026.
  • The objection must include your identifying and contact information, your specific reasons, your signature, and documents showing that you are a class member. Brokerage statements or an authorized broker statement can be used.
  • You do not need to attend the hearing to object. To speak at the hearing, you generally must first file and serve a written objection following these procedures.

When is the court hearing, and do I have to attend?

  • The Court will hold the settlement hearing on December 10, 2026, at 9:30 a.m. It may take place at the Court of Chancery in Georgetown, Delaware, or remotely if the Court decides.
  • You do not need to attend to request a payment or to have a properly submitted objection considered.
  • The hearing date, time, location, and remote-participation arrangements can change.

Will attorneys' fees affect the fund?

  • The lawyers for the class plan to ask the Court for fees and expenses of up to 20% of the $11 million settlement amount, including expenses. The Court will decide the amount.
  • The lawyers may also ask for service awards of up to $5,000 for each named plaintiff, paid from any fee and expense award.
  • These amounts would come from the settlement fund, so they may reduce the money available for claimant payments. Class members are not personally responsible for the fees or expenses.

When would payments be sent?

  • Payment will not be distributed unless the Court approves both the settlement and a plan for allocating the fund, and the time for any rehearing, appeal, or review has expired.
  • The notice does not provide a specific payment date. It says distributions occur after claims are processed and the settlement receives final approval.
