Plaintiffs’ claims in this Action concern Defendants’ alleged impairment of dMY IV Class A common stockholders’ right to make an informed redemption decision in connection with the business combination between dMY IV and Planet Labs, Inc. (“Legacy Planet”). Plaintiffs alleged that the Defendants, dMY IV’s sponsor, directors, and officers, were duty bound to provide dMY IV stockholders with all material information related to their redemption decision in an honest and forthright manner. Plaintiffs allege: (i) that the Defendants caused dMY IV to make materially false and misleading public statements about the benefits of the proposed business combination; and (ii) that the Defendants’ alleged breaches of fiduciary duty, and Defendants’ unjust enrichment, harmed the Class by, among other things, dissuading its members from redeeming their stock. In this Action, Plaintiffs sought an award of damages to themselves and the Class, and/or injunctive relief and/or corresponding declaratory relief. Questions? Visit www.dmyivstockholdersettlement.com or call toll-free at 1-844-924-0856 4 5. Defendants have denied and continue to deny any and all allegations of fault, breach of fiduciary duty, liability, wrongdoing, or damages whatsoever in connection with the Action, including, but not limited to, any allegations that Defendants have committed any violations of law or breach of any duty owed to dMY IV stockholders; that Defendants have aided and abetted any breach of any duty owed to dMY IV stockholders; that the Merger was not entirely fair to, or in the best interests of, dMY IV stockholders; that Defendants have acted improperly in any way; that Defendants have any liability or owe any damages of any kind to Plaintiffs and/or the Class; and/or that Defendants were unjustly enriched in the Merger. Each of the Defendants maintain that their conduct was at all times proper, in good faith, and in compliance with applicable law and further maintain that their conduct was at all times in the best interests of dMY IV and all of its stockholders. Defendants deny that dMY IV’s stockholders were harmed by any conduct of Defendants that was alleged, or could have been alleged, in the Action. Nevertheless, Defendants have determined to enter into the Settlement and the Stipulation solely to avoid the substantial burden, expense, inconvenience, and distraction of continued litigation and to put the Released Plaintiffs’ Claims (as defined in Paragraph 68 below) to rest, finally and forever. FACTUAL BACKGROUND 6. On December 15, 2020, dMY IV, a special purpose acquisition company, was incorporated in Delaware. 7. On March 9, 2021, dMY IV completed its initial public offering (“IPO”) of 34,500,000 units, which were sold to public investors (“Public Units”), at a price of $10.00 per unit, raising gross proceeds totaling $345 million. Each unit consisted of one share of dMY IV Class A common stock (“Common Stock”), and one-fifth of one whole dMY IV public warrant. Each whole dMY IV public warrant entitled the warrant-holder to purchase one share of dMY IV Class A Common Stock at a price of $11.50 per share. 8. The funds raised in the IPO were placed and maintained in a trust account for the benefit of the dMY IV public stockholders, who had the right to redeem some or all of their shares of Common Stock at a price equal to $10.00 per share plus interest. 9. On July 7, 2021, dMY IV, Photon Merger Sub, Inc., and Photon Merger Sub Two, LLC (“Merger Subs”), wholly owned subsidiaries of dMY IV, entered into an Agreement and Plan of Merger with Legacy Planet, pursuant to which the Merger Subs would merge with and into Legacy Planet, with Legacy Planet continuing as the surviving entity (the “Merger”) and becoming a wholly owned subsidiary of dMY IV, which concurrently with the Merger would change its legal name to Planet Labs PBC (“New Planet”). 10. On November 5, 2021, dMY IV filed with the United States Securities and Exchange Commission (“SEC”) a proxy statement and prospectus concerning the Merger (such proxy statement and together with any preliminary proxy filings, as well as any amendments or supplements thereto, the “Proxy”), which was mailed to dMY IV stockholders on or about November 8, 2021. The Proxy informed stockholders of a special meeting to be held on December 3, 2021 (the “Special Meeting”), at which dMY IV stockholders would vote whether to approve the Merger and related transactions. The Proxy also informed dMY IV stockholders Questions? Visit www.dmyivstockholdersettlement.com or call toll-free at 1-844-924-0856 5 that the deadline to redeem shares in connection with the Merger was 5:00 P.M. ET on December 1, 2021 (the “Redemption Deadline”). 11. Prior to the Special Meeting, the holders of 689,670 shares of dMY IV Common Stock (the “Redeeming Stockholders”), representing approximately 2% of the dMY IV public shares, exercised their right to redeem those shares. 12. On December 3, 2021, dMY IV stockholders voted to approve the Merger. 13. On December 7, 2021, the Merger closed. 14. On November 2, 2023, Plaintiff Montealegre made a demand to inspect certain of New Planet’s books and records pursuant to 8 Del. C. § 220, and subsequently received approximately 27 documents, a total of 832 pages, in response to his demand. 15. On August 19, 2024, Plaintiff Montealegre, on behalf of himself and similarly situated current and former New Planet stockholders, commenced an action, captioned Montealegre v. You, No. 2024-0869-BWD, by filing a Verified Stockholder Class Action Complaint (the “Initial Complaint”) (Trans. ID 74091766). The Initial Complaint alleged claims against the Defendants, Charles E. Wert, and New Planet for breach of fiduciary duties, aiding and abetting breaches of fiduciary duties, and unjust enrichment in connection with the Merger. 16. On November 12, 2024, Defendants, Wert, and New Planet filed a Joint Opening Brief in Support of their Motion to Dismiss the Initial Complaint (Trans. ID 74988841). 17. On January 6, 2025, Plaintiff Montealegre and New Planet filed a Stipulation and [Proposed] Order to Dismiss New Planet without prejudice and subject to a tolling of the statute of limitations (“New Planet Dismissal”) (Trans. ID 75377961). On January 8, 2025, the Court granted the New Planet Dismissal (Trans. ID 75395814). 18. On January 10, 2025, Plaintiffs filed the Verified Amended Consolidated Class Action Complaint (“Complaint”) (Trans. ID 75412724). HOW DO I KNOW IF I AM AFFECTED BY THE SETTLEMENT? 40. If you are a member of the Class, you are subject to the Settlement. The Class is preliminarily certified by the Court solely for purposes of the Settlement, consisting of: All record and beneficial holders of dMY Technology Group, Inc. IV (“dMY IV”) Class A Common Stock who held such shares at any time during the Class Period (between 5:00 PM ET on December 1, 2021 and the closing of the Merger on December 7, 2021), including their successors-in-interest who obtained shares by operation of law, but excluding: (i) Defendants; (ii) members of the immediate family of any Individual Defendant; (iii) any parent, subsidiary, or affiliate of any entity Defendant; (iv) any entity in which any Defendant or any other Excluded Person, or group of Excluded Persons, has, or had during the Class Period a controlling interest; and (v) the legal representatives, agents, affiliates, heirs, estates, successors, or assigns of any such Excluded Persons. PLEASE NOTE: The Class is a non-opt-out class pursuant to Delaware Court of Chancery Rules 23(a), 23(b)(1), and 23(b)(2). Accordingly, Class Members do not have the right to exclude themselves from the Class. WHAT ARE THE TERMS OF THE SETTLEMENT? 41. In consideration of the settlement of Released Plaintiffs’ Claims (defined in Paragraph 68 below) against Released Defendants Parties (defined in Paragraph 68 below), Defendants shall pay the Settlement Amount ($11,000,000.00) into an interest-bearing escrow account for the benefit of the Class in accordance with the Stipulation. See Paragraphs 47-67 below for details about the distribution of the Settlement proceeds to Eligible Class Members. 42. Released Defendants Parties shall bear no personal responsibility for any payment in connection with the Stipulation or the Settlement. Questions? Visit www.dmyivstockholdersettlement.com or call toll-free at 1-844-924-0856 8 WHAT ARE THE SETTLING PARTIES’ REASONS FOR THE SETTLEMENT? 43. Based upon their investigation and prosecution of the Action, Plaintiffs and Plaintiffs’ Counsel have concluded that while they believe that the claims they asserted have merit, the significant risks and uncertainties of further litigation outweigh the potential for recovery. In addition to the benefits of the Settlement for the Class, Plaintiffs and Plaintiffs’ Counsel have considered: (i) the attendant risks of continued litigation and the uncertainty of the outcome of the Action; (ii) the probability of success on the merits; (iii) the inherent hurdle of proving liability and damages associated with, and the strength of defenses to, the claims asserted in the Action; (iv) the desirability of permitting the Settlement to be consummated according to its terms; (v) the expense and length of continued proceedings necessary to prosecute the Action through trial and appeals; and (vi) the conclusion of Plaintiffs and Plaintiffs’ Counsel that the terms and conditions of the Settlement and the Stipulation are fair, reasonable, and adequate, and that it is in the best interests of the Class to settle the claims asserted in the Action on the terms set forth therein. The Settlement and the Stipulation shall in no event be construed as, or deemed to be, evidence of a concession by Plaintiffs of any infirmity in the claims asserted in the Action. 44. Based on Plaintiffs’ Counsel’s thorough review and analysis of the relevant facts, allegations, defenses, and controlling legal principles, Plaintiffs’ Counsel believes that the Settlement set forth in the Stipulation is fair, reasonable, and adequate, and confers substantial benefits upon the Class. Based upon their direct oversight of the prosecution of this Action, as well as evaluation and input from Plaintiffs’ Counsel, Plaintiffs have determined that the Settlement is in the best interests of the Class, and have agreed to the terms and conditions set forth in the Stipulation. 45. Defendants deny any and all allegations of fault, breach of duty, liability, wrongdoing, or damages whatsoever in connection with the Action, including, but not limited to, any allegations that Defendants have committed any violations of law or breach of any duty owed to dMY IV stockholders; that Defendants have aided and abetted any breach of any duty owed to dMY IV stockholders; that the Merger was not entirely fair to, or in the best interests of, dMY IV stockholders; that Defendants have acted improperly in any way; that Defendants have any liability or owe any damages of any kind to Plaintiffs and/or the Class; and/or that Defendants were unjustly enriched in the Merger. Each of the Defendants maintain that their conduct was at all times proper, in good faith, and in compliance with applicable law and further maintain that their conduct was at all times in the best interests of dMY IV and all of its stockholders. Defendants deny that dMY IV’s stockholders were harmed by any conduct of Defendants that was alleged, or that could have been alleged, in the Action. 46. Nevertheless, Defendants have determined to enter into the Settlement and the Stipulation solely to avoid the substantial burden, expense, inconvenience, and distraction of continued litigation and to put the Released Plaintiffs’ Claims (defined in Paragraph 68 below) to rest, finally and forever. Neither the Stipulation, the Settlement, or the negotiations leading to the execution of the Stipulation or Settlement, nor any proceedings taken pursuant to or in connection with the Stipulation and/or approval of the Settlement shall be deemed or argued to be evidence of, or to constitute any presumption, admission, or concession by any Defendant or any of the Questions? Visit www.dmyivstockholdersettlement.com or call toll-free at 1-844-924-0856 9 other Released Defendants Parties, as to (i) the truth of any fact alleged by Plaintiffs; (ii) the validity of any claims or other issues raised, or which might be or might have been raised, in the Action or in any other proceeding; (iii) the deficiency of any defense that has been or could have been asserted in the Action or in any other proceeding; or (iv) any wrongdoing, fault, or liability of any kind by any of them, which each of them expressly denies. WILL I RECEIVE A PAYMENT FROM THE SETTLEMENT? HOW MUCH WILL MY PAYMENT FROM THE SETTLEMENT BE? HOW WILL I RECEIVE MY PAYMENT? 47. As stated above, the Settlement Amount will be deposited into an interest-bearing escrow account for the benefit of the Class. If the Settlement is approved by the Court and the Effective Date of the Settlement occurs, the Net Settlement Fund (that is, the Settlement Amount plus any interest accrued thereon after its deposit in the Escrow Account less: (i) any Taxes or Tax Expenses, (ii) any Notice and Administration Costs, (iii) any Fee and Expense Award awarded by the Court, and (iv) any other costs or fees approved by the Court) will be distributed in accordance with the proposed Plan of Allocation stated below or such other plan of allocation as the Court may approve. 48. The Net Settlement Fund will not be distributed unless and until the Court has approved the Settlement and a plan of allocation, and the time for any petition for rehearing, appeal, or review, whether by certiorari or otherwise, has expired. Approval of the Settlement is independent from approval of a plan of allocation. Any determination with respect to a plan of allocation will not affect the Settlement, if approved. 49. The Court may approve the Plan of Allocation as proposed, or it may modify the Plan of Allocation without further notice to the Class. Any Orders regarding any modification of the Plan of Allocation will be posted on the Settlement Website: www.dmyivstockholdersettlement.com. PROPOSED PLAN OF ALLOCATION 50. If the Settlement is approved by the Court, the Net Settlement Fund will be distributed to Eligible Class Members who timely submit a valid “Proof of Claim and Release” (attached hereto) to the Settlement Administrator in accordance with this proposed Plan of Allocation or such other plan of allocation as the Court may approve. Eligible Class Members who do not timely submit a valid Proof of Claim and Release may not be entitled to any distributions from the Net Settlement Fund but will otherwise be bound by the Settlement. The Court may approve this proposed Plan of Allocation, or modify it, without additional notice to the Class. Any order modifying the Plan of Allocation will be posted on the Settlement Website: www.dmyivstockholdersettlement.com. 51. The objective of the Plan of Allocation is to distribute the Net Settlement Fund equitably among those Eligible Class Members who suffered economic losses as a result of the alleged wrongdoing. The Plan of Allocation is not a formal damages analysis, and the calculations made in accordance with the Plan of Allocation are not intended to be estimates of, Questions? Visit www.dmyivstockholdersettlement.com or call toll-free at 1-844-924-0856 10 or indicative of, the amounts that Eligible Class Members might have been able to recover after a trial. Nor are the calculations in accordance with the Plan of Allocation intended to be estimates of the amounts that will be paid to Eligible Class Members under the Settlement. The computations under the Plan of Allocation are only a method to weigh, in a fair and equitable manner, the claims of Eligible Class Members against one another for the purpose of making pro rata allocations of the Net Settlement Fund. The formulas below are intended solely for purposes of this Plan of Allocation and cannot and should not be binding on Plaintiffs or any Class Member for any other purpose. 52. Pursuant to Rule 23 of the Court of Chancery of the State of Delaware, Class Members are all record and beneficial holders of dMY IV Class A Common Stock who held such shares at any time during the Class Period (between 5:00 PM ET on December 1, 2021 and the closing of the Merger on December 7, 2021), including their successors-in-interest who obtained shares by operation of law, but excluding: (i) Defendants; (ii) members of the immediate family of any Individual Defendant; (iii) any parent, subsidiary, or affiliate of any entity Defendant; (iv) any entity in which any Defendant or any other Excluded Person, or group of Excluded Persons, has, or had during the Class Period a controlling interest; and (v) the legal representatives, agents, affiliates, heirs, estates, successors, or assigns of any such Excluded Persons. 53. Eligible Class Members are those Class Members who held dMY IV Class A Common Stock immediately after the Redemption Deadline, i.e., December 1, 2021, at 5:00 pm ET, that was not submitted for redemption in connection with the Merger. CALCULATION OF TOTAL LOSS 54. Based on the formulas set forth below, a “Total Loss” will be calculated for each Eligible Share that is listed in the Proof of Claim and Release and for which adequate documentation is provided to the Settlement Administrator, as follows: a. The Total Loss for each Eligible Share sold after the close of trading on December 1, 2021 and prior to the close of the market on August 19, 2024 (the date the Complaint was filed) for less than $10.00 (the “Redemption Price”) shall be the Redemption Price minus the sale price, plus the Nominal Amount (as defined below). b. The Total Loss for each Eligible Share sold after the close of trading on December 1, 2021 and prior to the close of the market on August 19, 2024 at a price of $10.00 or greater shall be zero, plus the Nominal Amount (as defined below). c. The Total Loss for each Eligible Share, held as of the close of trading on August 19, 2024, shall be $7.16 per share, calculated as the Redemption Price of $10.00 minus $2.84 (the closing stock price of New Planet common stock on August 19, 2024, rounded to the cent), plus the Nominal Amount (as defined below). d. The Nominal Amount shall be $0.10 per share for each Eligible Share. 55. For the avoidance of doubt, there will be no Total Loss calculated for any share of dMY IV Class A Common Stock redeemed in connection with the Merger. To the extent that the Questions? Visit www.dmyivstockholdersettlement.com or call toll-free at 1-844-924-0856 11 calculation of an Eligible Class Member’s Total Loss results in a negative number, that number shall be set to zero. 56. The Net Settlement Fund shall be distributed to Eligible Class Members on a pro rata basis based on the relative size of the Eligible Class Member’s Total Losses. Specifically, a “Claimed Distribution Amount” will be calculated for each Eligible Class Member, which will be the sum of the Eligible Class Member’s Total Losses divided by the combined Total Loss for all Eligible Class Members, multiplied by the total amount in the Net Settlement Fund. If the Eligible Class Member’s Claimed Distribution Amount calculates to less than $10.00, it will not be included in the calculation, and no distribution will be made to that Eligible Class Member; however, they will nevertheless be bound by the Settlement and the Order and Final Judgment of the Court dismissing this Action. 57. If the sum total of Total Losses of all Eligible Class Members who are entitled to receive payment out of the Net Settlement Fund is greater than the Net Settlement Fund, each Eligible Class Member shall receive their pro rata share of the Net Settlement Fund. If the Net Settlement Fund exceeds the sum total amount of the Total Losses of all Eligible Class Members entitled to receive payment out of the Net Settlement Fund, the excess amount in the Net Settlement Fund shall be distributed pro rata to all Eligible Class Members entitled to receive payment. Defendants shall not have a reversionary interest in the Net Settlement Fund. ADDITIONAL PROVISIONS 58. Any transaction in common stock executed outside regular trading hours for the U.S. financial market shall be deemed to have occurred during the next trading session. 59.
