What do I need to do to seek payment?

How is my possible payment calculated?

The notice’s $0.38 figure is only an estimated average recovery per eligible affected share before deductions, not a promise of payment.

  • The $9.35 million fund is reduced by taxes, notice and administration costs, and any attorneys’ fees and litigation expenses the Court awards.
  • Eligible claims are compared using recognized losses. Each authorized claimant’s share is based on the size of that claimant’s recognized claim relative to all authorized claimants’ recognized claims.
  • No payment is made if the calculated distribution is less than $10.

Does it matter when I sold my ASPI shares?

These are allocation rules used to calculate claims, not a statement of what a person would have recovered in a trial.

  • A purchase must have been made during the class period and held through at least one corrective disclosure date to have a recognized loss.
  • The notice identifies November 26 and November 27, 2024, as the corrective disclosure dates.
  • Shares sold before November 26, 2024 have a recognized loss amount of zero under the proposed allocation plan.
  • Sales and purchases are matched first-in, first-out (FIFO), meaning the earliest shares are matched first.

Are options, gifts, or shares obtained through other securities treated differently?

The settlement covers publicly traded ASPI common stock, not every way someone may have obtained exposure to ASPI.

  • Options themselves are not eligible securities in the settlement.
  • If publicly traded options were exercised for ASPI common stock, the stock’s purchase or sale date is the exercise date and its price is the option strike price.
  • ASPI common stock obtained by exercising, converting, or exchanging non-publicly traded ASPI securities is not eligible.
  • Shares received by gift, inheritance, or operation of law generally are not treated as a purchase for the loss calculation, subject to the notice’s limited assignment conditions.

What if my shares were held in an ERISA retirement plan?

ASPI employee retirement and benefit plans are excluded from the settlement class.

  • If your ASPI shares were held through an ERISA-covered retirement plan, do not include those plan transactions in your own claim.
  • You may include only shares you personally bought or acquired outside the plan.
  • The plan administrator may file on the plan’s behalf; participants may not file separate claims for the same securities.

What happens if I do not want to stay in the settlement?

If you remain in the class, you are bound by the Court’s orders and, if the settlement becomes effective, release the claims covered by the settlement even if you do not submit a claim.

  • To leave the settlement, send a written Request for Exclusion that is received by November 20, 2026.
  • The request must give your identifying and contact information, state that you request exclusion in this case, list ASPI share purchases or acquisitions and sales during the class period with dates and prices, and be signed.
  • Someone who leaves cannot receive money from this settlement. Leaving is the option that preserves the ability to pursue a separate case concerning the released claims.

Can I object to the settlement or attend the hearing?

To speak at the hearing, a person who has timely objected must also file and serve a notice of appearance by the same November 20 deadline. The Court decides whether to allow oral argument.

  • You may object only if you are a settlement class member and do not exclude yourself.
  • File the written objection with the Court and serve it on both Lead Counsel and Defendants’ Counsel so that all receive it by November 20, 2026.
  • An objection must explain the reasons, be signed, and include documents sufficient to show class membership and the relevant ASPI transactions.
  • The hearing is scheduled for December 15, 2026, at 12:30 p.m. in Courtroom 24A at the Daniel Patrick Moynihan United States Courthouse, 500 Pearl St., New York, NY 10007. Attendance is not required.

When might payments be sent?

The settlement was preliminarily approved, not finally approved, when this notice was issued.

  • The Court must approve both the settlement and an allocation plan.
  • The period for any rehearing request, appeal, or review must expire before the Net Settlement Fund is distributed.
  • Claims processing must also be completed. The notice does not give a specific payment date.
  • After an initial distribution, remaining funds may be redistributed to claimants who cashed their first checks, when doing so is cost-effective and the additional payment would be at least $10.
