AMPAM ESOP $13.75 Million Settlement

The notice says the ESOP records identified recipients as potentially vested participants or beneficiaries. Eligibility is ultimately subject to the class definition and exclusions in the notice.

• You were a participant in the AMPAM ESOP on or after August 6, 2023, or later, and you vested under the Plan.
• You are a beneficiary of a participant who meets that description.
• The notice excludes the defendants and their immediate family members; Plan fiduciaries; officers and directors of AMPAM or entities controlled by a defendant; and those excluded people’s legal representatives, successors, and assigns.

The notice does not give an estimated dollar amount for any individual. The final amount depends on the allocation and the deductions awarded or incurred.

• The settlement fund is $13.75 million.
• Each Class Member’s share is based on that person’s pro rata share of the total vested AMPAM shares.
• The amount available for Class Members will be reduced by Court-awarded attorneys’ fees, litigation expenses, service awards, and settlement-administration costs.

Class Members receive settlement payments automatically if the settlement is approved. The rollover is an optional way to receive the same settlement payment, not an additional payment.

• If you do not choose a rollover, the settlement payment will be mailed to you as a check.
• If you prefer a rollover to a qualified retirement account, complete, sign, and return the enclosed Rollover Form online or by mail. A mailed form must be postmarked by November 12, 2026.
• The notice does not state that supporting loss documents are needed for either payment method.

If the Court approves the settlement, Class Members will be bound by it. The notice says this means Class Members cannot bring the released claims against the releasees in another lawsuit; those terms are defined in the Settlement Agreement.

• Include copies of documents you believe support the objection.
• File the objection with the Court and send it to the Settlement Administrator by U.S. mail or email by November 12, 2026.

The hearing date and time may change, according to the notice.

• The hearing is scheduled for December 3, 2026, at 10:30 a.m. Pacific Time.
• It is scheduled before Judge Kenly Kiya Kato at the George E. Brown, Jr. Federal Building and U.S. Courthouse, 3470 12th St., Courtroom 3, Riverside, California.
• You do not have to attend. To speak, you must file with the Court and send a Notice of Intention to Appear to all counsel by November 12, 2026. It must identify the issues you want to address and include the information required for an objection.

The notice does not provide a specific payment date. It says payment timing information will be updated after the settlement’s approval and finality are known.

• Payments depend on Court approval of the settlement.
• If there is no appeal after approval, the notice says payments will be sent shortly after approval.
• An appeal can delay payment; the notice says appeals often take more than a year to resolve.
