Who is included in the settlement class?
The settlement covers a specific group of former Supernova stockholders. It does not cover every person who later owned Offerpad stock or every Supernova investor.
- You may be in the settlement class if you held Supernova Class A Common Stock at 5:00 p.m. EDT on August 27, 2021 and did not redeem every share you held in connection with the Offerpad merger.
- People and entities connected to the defendants, including certain family members, affiliates, controlled entities, and accounts held for their benefit, are excluded.
- Holding even some eligible shares does not guarantee a payment. You must also meet the claim requirements, and the payment calculation applies only to eligible shares that were not redeemed.
How is a payment calculated?
The settlement calls for a pro rata, or proportionate, payment. Court-approved fees, notice and administration costs, taxes, and other approved costs can reduce the amount available for claimants.
- The $3 million settlement amount is not divided equally among all class members. After approved deductions, the remaining Net Settlement Fund is allocated among eligible claimants based on their relative Total Losses.
- For each eligible unredeemed share, the calculation includes a $0.10 nominal amount. It may include more depending on whether and when the share was sold, the sale price, or whether it was held through August 26, 2024.
- A claimant whose calculated distribution is less than $10 will not receive a payment. The actual payment cannot be known in advance because it depends on the net fund and all valid claims.
What do I need to do to seek payment, and what documents are required?
Keep records that show the eligible shares and relevant transactions. The administrator will review submitted claims under the Court-approved allocation plan.
- Submit a valid, completed Claim Form by mail or online no later than January 4, 2027. Mailed forms must be postmarked by that date.
- The notice requires adequate documentation for every eligible share listed on the form. The supplied notice text does not further identify the documents needed for a claim; the Claim Form is referenced as an attachment but is not included here.
- A timely valid claim is required to receive a distribution. Missing the deadline means no payment from the Net Settlement Fund, even though the settlement still binds the class member.
Can I opt out of this settlement?
You do not need to attend the hearing or take action to approve the settlement. However, filing a claim is still necessary if you want to seek a payment.
- No. This is a non-opt-out class, so class members cannot remove themselves from the settlement.
- If the settlement becomes effective, it will dismiss the action with prejudice and release claims against the defendants and related released parties that arise from the matters described in the case, including the merger, proxy, and related disclosures.
- The release is broad and includes claims that are unknown at the time of the settlement, within the scope stated in the notice.
How can I object or speak at the settlement hearing?
The Court has not yet approved the settlement. It will consider objections and decide whether to grant final approval at the hearing or later.
- You may object in writing to the settlement, the proposed payment-allocation plan, or the requested attorneys’ fees and expenses. Your objection must be filed with the Register in Chancery, served on both sides’ counsel, and emailed to both sides’ counsel by November 17, 2026.
- The objection must include your contact information, proof that you are a class member, your reasons, and the documents you want the Court to consider.
- The hearing is scheduled for December 2, 2026, at 3:15 p.m. It may be held in Wilmington, Delaware, or remotely. You can submit a written objection without attending, but generally cannot speak at the hearing unless you first follow the written-objection procedure.
Will attorneys’ fees reduce the fund available for stockholders?
The Court will decide whether to award fees, expenses, or a service award and in what amount.
- Class counsel plans to ask the Court for attorneys’ fees worth no more than 20% of the $3 million settlement amount, plus litigation expenses of no more than $250,000. These amounts are requests, not final awards.
- Any fees and expenses the Court awards will be paid from the settlement fund, reducing the amount available for distribution.
- The named plaintiff may also ask for a service award of up to $5,000, but it would come from the attorneys’ fee and expense award rather than being an additional charge to the fund.
