Who is included in the settlement?
- The settlement is for people or entities that directly bought or otherwise acquired Hertz common stock from January 6, 2023 through April 24, 2024 and were allegedly harmed. The notice says that owning shares through a mutual fund alone is not enough, and simply selling Hertz stock during that period is not enough.
- Certain people and entities are excluded, including the defendants, their immediate families, Hertz officers, directors, and controlling persons, certain related entities and insurers, and people who properly opt out.
What must I do to seek a payment?
- Complete, sign, and submit a Proof of Claim and Release Form by mail or online. Include every document the form requests. A claim sent online must be received by 11:59 p.m. EST on January 8, 2027; a mailed claim must be postmarked by that date.
- The notice does not list each document required for a claim. The Claim Form supplies those details, but transaction documentation is required for the shares claimed.
How is a payment calculated, and is any payment guaranteed?
- The $10 million settlement fund is reduced by approved legal fees and expenses, a possible award to the plaintiff, taxes, and notice and claims-administration costs. The remaining Net Settlement Fund is shared among people with timely, valid claims.
- Your payment is not a fixed amount per share. It depends on your recognized loss under the Plan of Allocation and the total recognized losses of all valid claimants.
Are there trading situations that may result in no recognized loss?
- The Plan generally gives no recognized loss for shares sold before October 26, 2023. It also says that shares both bought and sold between corrective disclosure dates have a recognized loss of zero.
- Other limits can apply. For example, an overall market gain makes the recognized claim zero, and an overall market loss can cap a recognized claim. The Claims Administrator, not the claimant, makes these calculations.
What happens if I do nothing?
- If you remain in the settlement and it is approved, you give up certain claims against the defendants and other released parties connected to buying or acquiring Hertz common stock during the class period, whether or not you submit a claim.
- If you do nothing, you will not receive money. To preserve the ability to pursue your own case about the released claims, you must exclude yourself by the deadline.
How do I exclude myself instead of staying in the settlement?
- To opt out, mail a signed exclusion request postmarked by January 8, 2027. It must include your contact information, specified information about your Hertz transactions and shares held as of April 24, 2024, and documentary proof of the transactions and beneficial ownership.
- An opt-out request cannot be made by telephone or email. A person who properly opts out cannot receive a settlement payment or object to the settlement.
When might payments be sent?
- The court is scheduled to consider approval on January 29, 2027 at 10:00 a.m. Eastern in Fort Myers, Florida. Approval does not mean payments will be immediate: claims must also be processed, and appeals could delay distribution.
- The notice does not give a payment date.
