Who may receive a payment?
Being in the class does not by itself guarantee a payment. Payment eligibility depends on shares held at the Transaction closing.
- You had to own Continental common stock at some point from October 17, 2022, through November 22, 2022, and not be an excluded defendant-related party or a person or entity that previously opted out.
- To receive money, the rule is narrower: you must have held shares when the Transaction closed and received, or been entitled to receive, the Transaction consideration.
How will my payment amount be calculated?
The notice does not state a set dollar payment per share. Your payment, if any, depends on the eventual per-share calculation and the number of your eligible shares.
- The amount is based on the number of eligible shares you held at the Transaction closing.
- Each eligible share receives the same per-share recovery. That figure will be calculated by dividing the Net Settlement Fund by all eligible shares.
- The Net Settlement Fund is the $60 million settlement amount plus interest, less taxes, notice and administration costs, Court-approved fees and expenses, and other Court-approved costs.
Do I need to file a claim or send documents to get paid?
Payment requires Court approval and the Settlement’s Effective Date. The notice says payments are made after appeals are resolved if the Court approves the settlement.
- No claim form is required for an eligible payment.
- Payments are intended to follow the same channel used for the Transaction consideration. For street-name shares, that generally means the broker that received the Transaction payment will deposit the settlement payment into that brokerage account.
- The notice does not give a blanket statement that supporting documents can never be requested. It describes a record-based distribution process instead.
What if my stock trade had not settled by the Transaction closing?
This special rule addresses trades that were still unsettled when the Transaction closed.
- A buyer whose shares had been purchased but had not settled before the Transaction closed is treated as eligible for those shares.
- A seller who sold those unsettled shares before the Transaction closed is not treated as eligible for them.
What was required to object or ask to speak at the hearing?
The notice says a class member may object without attending the hearing. It also says that, unless the Court orders otherwise, failing to object through the stated procedure waives objections.
- A written objection had to be filed with the Court and sent to both Co-Lead Counsel and Defendants’ Counsel so all were received by October 26, 2026.
- The objection must identify the case, give the objector’s contact information, be signed, explain the factual and legal reasons, and include documents showing class membership.
- A timely objector may ask to speak at the hearing in the written objection, but the Court decides whether to allow it.
Do I need to attend the settlement hearing?
At the hearing, the Court is scheduled to consider final approval, the distribution plan, and requested attorneys’ fees and expenses.
- The hearing is scheduled for November 10, 2026, at 10:00 a.m. in Courtroom 325 of the Oklahoma County Courthouse, 321 Park Ave., Oklahoma City, Oklahoma.
- You do not need to attend to receive a payment.
- The Court may change the date, time, location, or allow remote attendance without another mailed notice.
What claims would the settlement release, and what about appraisal claims?
A release is the part of a settlement that prevents covered claims from being brought again against the released parties. The precise scope is stated in the notice and settlement agreement.
- If the settlement is approved and becomes effective, covered claims relating to the Transaction and ownership of Continental stock during the Class Period will be released.
- The release does not include appraisal claims. The notice says any effect of receiving a settlement payment on an appraisal claim will be decided in the separate appraisal action.
