Who is included in the settlement?
- The class generally includes people and entities damaged by qualifying transactions in BeautyHealth common stock, call options, or put options from May 10, 2022 through November 13, 2023.
- The notice excludes the defendants and specified related people and entities, including BeautyHealth ERISA plans. Receiving the notice alone does not prove that you qualify for a payment.
What must I do to request a payment?
- Submit a completed and signed Proof of Claim by January 19, 2027. An online claim must be submitted by 11:59 p.m. Pacific Time, or a mailed claim must meet the deadline stated in the notice.
- Include the transaction documents requested by the form. The Plan of Allocation requires adequate documentation confirming the transactions used in your claim.
How will payment amounts be calculated?
- The $18 million fund is reduced by court-authorized fees, expenses, taxes, administration costs, and lead-plaintiff awards. The remainder is the Net Settlement Fund.
- A valid claimant receives a pro rata share based on the recognized claim calculated under the Plan of Allocation. The result depends on the security type, transaction dates and prices, holdings, and the claimant’s overall market gain or loss.
Are there limits that can prevent or reduce a payment?
- A calculated payment under $10 is not distributed. Those small amounts remain available for other eligible claimants.
- Claims involving BeautyHealth call options and written put options are collectively limited to 4% of the Net Settlement Fund if their recognized losses would otherwise exceed that share. A claimant with an overall market gain has a recognized claim of zero.
How do I exclude myself from the settlement?
- Send a written exclusion request that is received by November 24, 2026 and includes all information required by the notice, including your qualifying BeautyHealth transactions.
- If you exclude yourself, you will not receive a settlement payment, but you keep the right to pursue released claims on your own. If you remain in the class, you will be bound by the settlement whether or not you submit a claim.
How can I object to the settlement?
- File or submit a written objection that is received by November 24, 2026 and send copies to the listed lawyers. The notice lists the identifying, transaction, and explanation requirements.
- Objecting keeps you in the settlement. It is different from excluding yourself, and it does not remove the requirement to submit a valid claim if you want a payment.
When is the court hearing?
- The fairness hearing is scheduled for December 9, 2026 at 1:30 p.m. in Courtroom 5C of the federal courthouse at 350 W. 1st Street in Los Angeles.
- You do not need to attend to submit a claim. The Court may change the hearing date without mailing another notice.
When would settlement payments be sent?
- There is no fixed payment date. The Court must approve the settlement, any appeals must be resolved, and all claims must be processed before distributions can begin.
- The notice warns that appeals and claim processing can take substantial time.
How do attorneys’ fees and other costs affect the fund?
- Lead Counsel plans to request fees of up to 30% of the $18 million fund, reimbursement of litigation costs up to $325,000, and awards up to $5,000 for each lead plaintiff. The Court decides what to approve.
- Notice and administration costs, taxes, and other court-authorized expenses also come from the fund before claimant payments are calculated.
