Investors who bought or acquired Seagate Technology common stock during the covered period may file for a proportional share of a proposed $175 million securities settlement. The notice estimates an average recovery of $1.03 per eligible share before deductions, but that figure is not a guaranteed payment rate.
The settlement resolves allegations that Seagate and certain executives misled investors about the company's business involving Huawei and compliance with U.S. export controls. The defendants deny wrongdoing and liability. Claims must be submitted online or postmarked by October 19, 2026.
Which Seagate investors may qualify?
The class generally covers people and entities that purchased or otherwise acquired Seagate Technology Holdings plc common stock from September 14, 2020, through April 19, 2023, inclusive, and were allegedly damaged.
The notice excludes current and former Seagate officers and directors and specified related people and entities, investors who owned Seagate stock solely through a mutual fund, people who only sold shares without purchasing during the class period, the assigned judge, court staff and their immediate families, and those who timely opt out.
Receiving a notice does not establish a payable loss. Investors must document their transactions, fit the class definition and obtain an approved recognized claim under the allocation plan.
The $1.03 figure is only an average estimate
The gross settlement fund is $175 million plus any interest. Court-approved attorneys' fees and litigation expenses, taxes, notice and administration costs, and other approved charges will be deducted before the net fund is distributed.
The notice's $1.03-per-share estimate assumes the allegedly damaged shares used in the calculation participate. Actual payments will depend on each claimant's recognized loss compared with the total recognized claims submitted by all approved investors.
Lead counsel plans to request fees of up to 25% of the fund and litigation expenses of up to $1.3 million. If the maximum request is approved, the notice estimates the combined cost at approximately $0.26 per allegedly damaged share.
Transaction timing drives the recognized loss
The proposed plan assigns a recognized loss amount to each documented purchase or acquisition. Its formulas consider alleged artificial inflation and when shares were sold or held relative to disclosures during and after the class period.
A market trading loss is not automatically the same as a settlement-recognized loss. The plan also performs an overall market-gain-or-loss calculation, matches sales against purchases under stated rules and can limit a claim based on the claimant's net trading result.
Recognized loss is used to compare approved claims and divide the net fund proportionally; it is not an estimate of the check an investor will receive. The court may approve the proposed plan or a different allocation method.
Brokerage documentation is essential
The claim form requires details for relevant purchases, acquisitions and sales, including dates, quantities and prices. Claimants should supply brokerage statements or other adequate documentation and report all transactions requested by the form, not only the trades they believe produced a loss.
Claims may be submitted through the official settlement website or mailed to the claims administrator. Online claims and mailed forms must be submitted or postmarked by October 19, 2026. Investors should keep copies of the completed form, transaction schedules and proof of submission.
An approved claimant whose calculated distribution would be less than $10 will not receive a payment; that amount will remain in the fund for other authorized claimants. If money remains after the initial distribution, additional distributions may be made when cost-effective.
What the lawsuit alleged
Plaintiffs alleged that Seagate, its chief executive and former chief financial officer made false or misleading statements and omissions concerning the company's relationship with Huawei and compliance with export-control rules. They claimed the conduct inflated Seagate's stock price and that investors were harmed when the truth emerged.
The defendants deny making materially false statements, violating securities laws or causing the alleged losses. The court partly dismissed an earlier complaint, later allowed portions of an amended case to proceed, and has not decided which side is right.
The $175 million agreement followed discovery and mediation. It is a negotiated compromise, not a finding that Seagate or the individual defendants committed wrongdoing.
The remaining deadlines and hearing
Requests for exclusion must be received by October 27, 2026. Objections must be filed, postmarked or submitted online by that date under the notice's procedures. Opting out preserves the ability to pursue released claims independently but gives up any settlement payment; objecting keeps an investor in the class and can be combined with a claim.
The settlement hearing is scheduled for November 17, 2026, at 10 a.m. Pacific before Judge Rita F. Lin in federal court in San Francisco, with remote observation available through the court's posted Zoom information. The court may change the date, time or format.
Payments will be made only after final approval, any appeals and claims processing. Securities-settlement distributions can take substantial time, particularly when submitted transaction records need review or correction.
